Propin Design Terms & Conditions

(The client and any related party, collectively referred to as the “Client”) understand that by accepting provided quotation, the Client signifies their acceptance of the Terms and Conditions (“Terms”) as listed in this document and agree to avail interior design and renovation services (‘Services’) from PROPIN DESIGN PTE Ltd (hereinafter referred to as the “Company”). Please read these Terms carefully before using the Company’s Services or accessing any materials, information, purchasing products or availing services on the Company’s website.

Definitions:
‘Client’ refers to the party/parties availing the interior design and renovation services from the Company by signing the quotation and Terms ‘Company’ refers to PROPIN DESIGN Pte Ltd, offering interior design and renovation services. ‘Project’ refers to the interior design renovation and execution work that the Client requires from the Company. ‘Quotation’ refers to the itemized listing of products and services required to deliver the Project of the Client by the Company ‘Designer’ refers to any person contracted by the Company to provide interior design consultation and services to the Client. ‘Third-party service’ refers to an external party engaged directly by the customer.

Additional Orders:
Any Additional Order that occurs after Order Placement will require a 100% payment of the total value of the Additional Order, to initiate procurement with the requisite service and product providers. After payment of the Additional Order, no reductions, cancellations, design changes or material changes can be made on the items for the Additional Order.

Completion of Civil Works and prior to fabrication of Carpentry Works: 
A total of 100% of the total Project Value, including orders with partner brands placed through the Company, and all Additional Orders placed, is required to be paid by the customer. For projects which do not have any carpentry works in the Quotation, 100% of total Project Value including orders with partner brands placed through the Company, and all Additional Orders placed, is required to be paid by the customer after completion of tiling works.

Cancellation policy:
You hereby agree that in the event you decide to cancel your order with the Company, you will forfeit the sum /payment /consideration already paid by you towards the Company and the Company shall not be liable to refund such sum/ payment/ consideration received from you towards your order. In case the Company has delivered Services with value in excess of the payment already made, then the Client shall be liable to pay the Company the additional value totaling to the total value of products and Services delivered

General conditions to payment terms: 

  • Delays in making the required payment at any stage can cause a delay in the project schedule and project completion. The Company is not liable for any such delay.
  • Any Additional Orders placed after sharing of the project schedule by the Company would have an impact on the project schedule, and the revised project schedule will be shared by the Company on payment of the Additional Order. At any point in time, the latest shared schedule would be considered as the final project schedule. Any schedules shared prior to this will become null and void.
  • Delivery, installation, rectification and return charges for products sourced through the Company from third party product providers or partner brands, will be borne by the Client, and included within the Project Value and/or Additional Orders, as applicable.
  • The Client shall be responsible for all bank charges or fees, including but not limited to remittance fees and credit card fees, in connection with their payments.
  • The Client’s payment obligations under this Agreement shall be discharged only if such payment has been made to the Company and has been acknowledged to be received.
  • Payment can be made either by
    a. Credit or Debit card and paid through an online payment link;
    b. Cheque payable to PROPIN Design Pte Ltd, or
    c. Bank transfer to the Company account

OTHER TERMS AND CONDITIONS

Service and Intellectual property Disclaimers Design

a. Design alteration or additional work at any stage may lead to revision of the quotation & project timeline, if any is already shared, and will be taken up by the Company at the discretion of the Designer. The revised quotation & timeline will be shared by the Company with the Client. 
b. The design outline (2D &3D drawings/renders) and Quotation in relation to a project has been exclusively prepared for the Client. The Client shall not share such design outline and Quotation with any third party without the prior written consent from the Business Manager or any other higher authority of the Company. The 3D renders are illustrative images and meant for reference purposes only and may not be an accurate representation of products used. Please refer to drawings for specific sizes, dimensions, samples for colours and finishes.

Site Evaluation

a. Site evaluation will be conducted only after the Client’s booking and signing with the Company.
b. Site evaluation can be conducted only when the Client provides unrestricted access to the site, which is in good condition to enable the team to perform the evaluation work accurately and without interference or impediments.
c. Measurements, electrical points, DB boards, light points, false ceiling, aircon walls, hollow walls and other site-specific aspects of the Project will be re-evaluated by the Company for accuracy regarding any change in design and price, and the Quotation may be revised accordingly.
d. Carpentry works will also be revised for design and costing after site evaluation and measurement for an empty site.
e. Clients should be present in the site kickoff meeting, along with a Company representative and the contractor.

Products sourced from brand partners

For products from the Company’s brand partners such as IKEA, Crate & Barrel etc. sourced through the Company, the cost, availability, delivery and installation of the products is subject to the terms and conditions and schedule of the brand partner. In case of unavailability of product from the brand, the Company will notify the Client and reserves the right to suggest alternative suitable product options from the brand’s product catalogue.

Any returns, alterations, modifications or warranty are subject to the brand partner’s terms and conditions regarding the same. Returns of partner’s products sourced through the Company will be processed through the Company, and refunds for any returns will be processed through the Company as well.

Client Responsibility

a. Quotation provided by the Company is valid for a maximum of fifteen days only, and Client needs to acknowledge, confirm and make payment against the same within that time period.
b. Client is required to sign off on design (including drawings, renders, Quotation etc) before the project schedule can be finalized by the Company, and project execution can start.
c. Project execution date can start in 14 days of design sign off by the Client, with a total payment of 50% of Total Project Value including 100% payment against any Additional Orders and orders from brand partners.
d. The Client is wholly responsible to coordinate and be responsible for procurement, delivery and installation of products or services sourced externally by the Client for which orders are not placed through the Company. In any case such items are procured, the Company will not be responsible for inspection, timeline or quality of such items delivered (goods damaged, wrong color, size etc) or installed. The Company is also not responsible for any delays to the project schedule or issues during project execution caused due to procurement and installation of these external products or services.
e. Specifications of any appliances (e.g. dishwasher, oven) that are integrated with the scope of work undertaken by the Company need to be confirmed by the Client with the Designer before design signoff and order placement.
f. For lived-in Client sites (i.e. site is not vacant during execution of renovation), the Company won’t be responsible for moving, removing, installing or uninstalling any existing furniture, furnishings, art, and artefacts. Clients arrange the same at their end. In any case if this is required, there will be an additional cost for the same.
g. Design and execution delay due to Client unavailability or other situation after a set start date, will delay timelines and schedule of works.
h. Temporary water & power supply throughout the renovation period is required to be ensured by the Client.
i. The Client shall allow the Company and its representatives access at all reasonable times to the project site and to the work, wherever being performed. The Client understands that projects sites with work under progress may not be in handover condition; however, the Company will work on best effort basis to ensure cleanliness at site and ensure that project sites handed over to the Client follow the Company’s handover criteria.
j. The Client, their associates and their representatives shall behave in a professional manner with all Company representatives, including employees and contractors, throughout all interactions.
k. The Client should not leave any valuables unattended, and the Company will not take responsibility for any loss of unattended valuables. The items left in the Client’s premises will be at their own risk.
l. The Client and their representatives shall not unreasonably interfere with or delay the performance of the work, whether performed by the Company or Company’s subcontractors.
m. The Client is expected to provide a work area free of household obstructions, and to remove or protect household items in areas where they may be subject to dust, damage or vibrations.

Company Requirements:

a. In the event of breach of any clauses under ‘Client Responsibility’ or delay in payments as per the ‘Payment Terms’, the Company reserves the right to stop all works and either (i) repossess all materials (whether finished or uncompleted) and all equipment and treat the contract as terminated without prejudice to its existing rights and to claim for any damages and/or monies due and owing, or (ii) resume work until the breaches are addressed, with revisions to project schedule, quotation as necessary.

b. If the Company were to resume work after such an event, we shall be entitled to a reasonable extension of time to complete such work and a revised project schedule shall be shared for the same.

c. The Company shall not accept any liability arising out of delay in work due to the following and shall be entitled to a reasonable extension of time for completing the project works as a result of the following events:
i. The Client’s failure to provide sufficient instructions, details or specification of works to the us during the any stage.
ii. Delay caused by the Client, including revisions to design, product selection etc.
iii. Additional Orders which require a reasonable time to be carried out, along with Client signatures on Additional Orders.
iv. Delay caused by the Building Management and/or other third parties which are not under the Company.

d. Any communication regarding changes to work scope after design sign off and start of project execution as per the Quotation to any other party except Company authorized personnel (Surveyor /Project Manager/Business Manager), will not be binding on the Company, and the Company is not liable for any delays, issues or additional cost caused by the same. Any such changes need to be communicated to the Company authorized personnel in written format.

e. The Company will adhere to the quality standards as defined by the Company and execute all work against the same. The Company does not consent to a third party’s standards for inspection unless agreed with the Company authorized personnel (Surveyor /Project Manager/Business Manager) with associated documentation related to the same.

f. The Company can provide 3D views with 2 iterations (a maximum of 3 per area). The Company has the right to charge extra for additional 3D views and maximum upto 2 design changes on original 3Ds. 

g. Any promotional offers provided by the Company are subject to their respective terms and conditions.

Other obligations and limitations

a. On completion, the Client will have a warranty for a maximum period of 1 year from the date of the Handover and upon signing of the handover form. The Company’s warranty covers only civil works and carpentry work, for the scope work performed by the Company. Products purchased from brand partners through the Company are subject to the warranty terms and conditions of the brand partners. 

b. The Warranty shall not be valid in any of the following events:-
i. Client cannot provide evidence that the work was originally undertaken by the Company.
ii. Where full payment of the total Project Value has not been paid to the Company by the Client.
iii. Where the Client has notified the Company of any defects which require rectification and the Client refuses to provide the Company or its representatives access to the site to undertake the rectification works. iv. Defects resulting from misuse, willful act, or faulty workmanship by the Client, his representatives, house help, agents or any third party working for or under the direction of the Client. 

c. Rectification and/or improvement works shall be carried out only after the Client has signed the List of Defects in the presence of parties involved along with the Company’s representative, upon inspection of the works carried out. 

d. No title in the completed works shall be passed to the Client until full payment is made and all indebtedness under this Contract is discharged. The company reserves its rights to dismantle and regain possession of all completed works (whether forming part of the fixtures or otherwise) in exercise of its right of reservation of title. 

e. No discounts or free of charge items will be valid against any third party unless expressly stated in the Quotation or the Agreement. 

f. The company does not warrant that all natural stones supplied, inclusive but not limited to granite, marble etc. are of absolute uniformity in veins, colours, tonality and natural characteristics. 

g. The warranty is not applicable in case one or more components of the civil or carpentry work provided by the Company are replaced in part or whole during the said warranty period. The replaced parts will continue to be covered under our warranty only until the completion of the original warranty timeframe.

Force Majeure

1. Force majeure, which includes, but not restricted to:
a. Any act of God including natural disasters, floods, fire, earthquake, typhoon, cyclone or landslides,
b. Acts such as war, terrorism, riot, pandemic, national emergencies, strike, lock-outs, hartal/bandh/other labor disturbances, accidents, power failure or shortage of fuel.
c. Any restrictions imposed by the central, state or local statutory/government authorities.
d. Any change in applicable law. Any unforeseen supply shocks for raw materials and accessories.
e. Any unforeseen manpower supply shocks. Any other unforeseen circumstances/causes beyond the reasonable control of the company.

2. In case of Force Majeure, the Company will duly inform the Client of the delay arising out of Force Majeure within 72 hours from the occurrence of the Force Majeure event(s) or from the time the company has become aware of the occurrence of such Force Majeure event(s), whichever is later.

3. The Company shall not be liable for any failure or delay in performance of its obligations under this Agreement arising out of or caused, directly or indirectly, by circumstances beyond its reasonable control due to the Force Majeure event; it being understood that the Company shall use reasonable efforts which are consistent with accepted practices to resume performance as soon as practicable under the circumstances.

Personal Information and Privacy Policy

You hereby authorized PROPIN KAI PTE LTD to collect, store, retain, process and use personal data, including your contact information provided to the Company in accordance with our Privacy Policy. You hereby permit the Company to contact you through phone/SMS/WhatsApp/e-mail, provided all such communication shall be undertaken solely in relation to the Service and your personal data, including contact information shall be kept confidential. PROPIN Design Pte Ltd reserves the right for any photograph and publication of our completed work. 

You hereby permit the Company to share personal data, including your contact information. provided to the Company in accordance with our Privacy Policy with co-vendors and third-party suppliers.

All work undertaken by the Company will follow the Terms of Use.
